Tax Counsel

North Chicago IL Tax Counsel Responsibilities: Represents Corporate Tax as a technical advisor on tax matters in cross-functional / cross-divisional projects. Represents Corporate Tax with outside advisors, financial auditors and tax authorities. With outside advisors, defines tax project objectives, manages outside advisors activities and budgets, within the context of broader business project goals and parameters. Prepares timely, high quality responses to auditors and tax authorities, in coordination with Tax leaders. May negotiate and obtain resolutions with respect to disputed issues. Qualifications: JD Degree required, LL.M. and/or CPA are a plus. 10+ years of tax experience, preferably with an emphasis on complex cross-border planning. Major law firm or Big Four experience, as well as experience from the corporate tax department of a Fortune 500 multinational company, including exposure to and responsibility for solving complex domestic and international tax problems. New York City NY Tax Counsel (Alternative Investments) - Corporate The candidate will work closely with the Managing Director overseeing tax for the company's alternative investment businesses. Will support in the evaluation of new business initiatives and complex transactions, monitoring adherence to the Bank's Tax Sensitive Transaction policy and other tax risk management functions. Become involved in tax advisory matters involving Human Resource and other compensation-related tax matters and issues involving global permanent establishment risk management. Interact directly with internal clients and the ability to identify, research and resolve tax issues with minimal supervision. Should have J.D. degree and ideally L.L.M. degree in Taxation. Must have 2+ years of work experience in a law firm, accounting firm or the tax department in a financial institution. Must have strong research capabilities and writing skills. Must have basic knowledge in all, and expertise in at least three, of the following areas would be desired: (i) Hedge and private equity funds, (ii) Subchapters C, K and M, (iii) Financial products, including notional principal contracts, structured notes and other derivatives, (iv) IRAs, (v) Cross border lending transactions including withholding and conduit issues (vi) Information reporting and withholding related to TEFRA, FATCA, cost basis and 871(m), (vii) IRS and state audits and (viii) Nonqualified employee compensation programs and fringe benefits.

Tax Counsel (Alternative Investments) - Corporate The candidate will work closely with the Managing Director overseeing tax for the company's alternative investment businesses. Will assisting with day-to-day advisory coverage of the alternative investments business. This includes: working closely with manager to advise various hedge fund and private equity front office contacts on the taxation of financial products and various transactions; coordinating with external advisors in respect to non-US tax matters; performing research and special projects and communicating findings to manager through written memos; and staying up to date on tax law and industry developments. Work on new fund formations by; advising on tax aspects of fund structures; evaluating various tax elections (including tracking election deadlines and where applicable preparing elections); commenting on tax aspects of legal documents (including partnership agreements, offering documents, trading agreements, etc.); and when necessary, assisting with the preparation of initial tax forms, withholding statements and self-certifications (FATCA, CRS). Advise on capital markets transactions within the company's alternative investments and merchant banking platforms. This includes: assisting with tax due diligence; assessing the US tax treatment of a transaction; coordinating with external advisors in respect to the non-US tax treatment of a transaction; and commenting on tax aspects of transaction documents. Assist team members with the management of external tax preparers and fund administrators in order to timely deliver K-1s to investors, and timely file income tax returns. This includes: researching and/or consulting with outside tax counsel on substantive tax issues that arise; evaluating and drafting memos in respect to tax positions for FIN 48 purposes; working with internal and external accounting teams; as well as when necessary, reviewing partnership federal and multi-state income tax returns and workpapers prepared by external tax preparers. Should have a J.D. degree with 2-3 years of experience in the tax department of a law firm. An LL.M. in Tax is a plus. Proficiency with online tax research tools (e.g., RIA Checkpoint or BNA) is required.
