Counsel The candidate will report directly to the VP for US business unit's Legal division. Will provide legal and business advice to internal clients across the organization, ranging from Sales to Services Delivery, Product Development, M&A, HR, and Finance groups. Field direct questions from internal clients on various matters related to commercial contracting, and will serve as support for, and escalation authority to, a team of contract negotiators. Provide legal advice on software licensing related issues. Assist the sales organization in the negotiation of terms and conditions of software licenses, services agreements, partner documentation and related agreements with customers. Act as a resource to help resolve complex software licensing issues that affect the company's internal and external relations. Review and revise software licenses, services agreements and related agreements. Provide guidance to paralegals and interns on licensing issues. Act closely with manager in conjunction with company's subject matter experts/functional teams in a matrix managed environment particularly in areas other than software licensing. Serve as a subject matter advisor in relation to local laws and requirements.

The candidate should have a J.D. degree from an ABA accredited law school (domestic) or Law degree from an accredited law school (outside the US). Bar admission in good standing in at least one state (required domestic) or admitted as an attorney/barrister/solicitor in the relevant jurisdiction and in accordance with local law (international). Must have 5+ years of experience with a law firm or corporate legal department. Prior experience working with large corporate clients preferred. Should have ability to draft, revise and negotiate legal documents and addenda. Must have working knowledge of IP and legal contract issues. Broad knowledge required in reviewing, drafting and negotiating commercial licenses, sophisticated information technology sales transactions, partner agreements (and policies for channel/alliance sales) RFPs and resulting proposals, and NDAs. Working knowledge of cloud computing is needed.
