Corporate Counsel The candidate will provide a variety of general corporate and transactional legal services to multiple in-house clients, with primary responsibility for M&A and investment transactions. Manages legal business matters pertaining to the organization, including corporate governance and formalities for global subsidiaries. Acts as advisor on legal issues involving the organization s government and regulatory compliance. Acting as lead on various transactions, including mergers, acquisitions, diverstitures, investments, and financings. Assisting with preparation and review of reports filed with the SEC under the Securities Exchange Act of 1934, including disclosures on Forms 10-K, 10-Q, and 8-K, and Section 16 reporting. Providing advice and counsel on disclosure issues under federal securities laws, including Regulation F-D, Regulation G and the use of non-GAAP financial measures, forward-looking statements, and analyst and investor presentations. Administering, with assistance from paralegals, local counsel and/or secretarial services, the operations and governance of a global network of subsidiaries. Preparation and review of the Company s annual proxy statement and planning and execution of the Company s annual meeting of stockholders. Drafting and reviewing amendments to governing instruments, Board committee charters, and corporate policies. Drafting and reviewing materials to be provided to the Board of Directors and its committees, and drafting meeting minutes. Collaborating with other departments, including accounting, finance, tax, asset management, and investor relations. Managing multiple priorities effectively in a fast-paced environment. Communicating with and directing the work of outside counsel on a cost-effective basis. The candidate should have Bachelor s degree, JD degree, and 5+ years of related experience. Demonstrates experience in general corporate matters, including corporate organization, securities compliance, drafting and negotiating transaction documents, and contract management. Experienced in public company governance, SEC reporting, and managing a network of subsidiaries required. Demonstrates advanced and/or broad functional expertise. Applies expertise to influence function-related company decisions and strategies. Able to balance competing priorities and exercise solid business judgment. Excellent communication skills and an ability to interface real-time with colleagues across the globe cooperatively and efficiently will be key to success. In-house or other business experience preferred.
