Senior Corporate Counsel

Senior Corporate Counsel The candidate will take the lead on all equity, securities and corporate governance matters for the company globally. Will support mergers and acquisitions, as well as support compliance efforts throughout the company. Take ownership of all processes related to the corporate governance matters impacting the company, working with outside counsel, to ensure best practices and compliance requirements are strictly adhered to globally. Manage and oversee the equity compensation process governing stock option grants, exercises, and sales in conjunction with the team s corporate paralegal and human resources colleagues. Creating and deploying industry-leading compliance policies, procedures, and practices. Providing advice and support for human resources relating to employees equity questions. Developing and conducting internal compliance training. In conjunction with the finance department, conduct periodic reviews and audits of records and processes. Special projects on an ad hoc basis, including supporting commercial operations as needed.

The candidate must have 6+ years of experience in house (preferably in a global technology company) and at least 4+ years law firm experience with a focus on securities, corporate governance, and mergers and acquisitions. Law degree and Bar admission required. Strong written and oral communication skills is required.
