Associate Corporate Counsel The candidate will provide expert legal advice across the full range of the company s component business, including contract negotiation, litigation management, in-bound and outbound licenses, complex development agreements, employment advice, and the application of new and evolving legal standards to the company s diverse business. Work collaboratively with all levels of the SSI organization. The role requires (1) a results-driven self-starter with exemplary leadership, communication and collaboration skills; (2) excellent judgment and ethical standards; (3) facility with a blend of technological, legal and business complexity with international dimensions; and (4) a highly adaptable professional who thrives in a global organization with a blend of international cultures and dimensions. Draft, negotiate and advise on a variety of documents and agreements, including contracts concerning the development, distribution, marketing and sale of hardware and software products and services. Draft, negotiate and advise on wide variety of procurement agreements, including contracts related to professional services, licensing, real estate, recruiting, marketing, consulting, and other products and services. Draft and advise on policies and procedures for a variety of products and internal departments. Manage complex litigation and pre-litigation matters. Serve as a readily available resource to internal business staff on legal matters; provide legal analysis of risks and potential liabilities in a variety of business contexts. Provide training on legal compliance issues and assist in the implementation of the company s compliance program. Work closely with Human Resources department on employment law, ERISA compliance, and employee-relations issues. Utilize a strategically effective mix of inside and outside counsel which appropriately reflects both short and long-term considerations. J.D. from a top A.B.A. accredited law school and admission to the state bar in good standing required. 4-8 years at a nationally recognized law firm or in-house required. Standard office computer skills required. Knowledge and experience in a wide range of legal areas, including commercial contracts, intellectual property, privacy, data security, litigation, employment, real estate, regulatory matters, antitrust, export control, trade secret and corporate governance required. Experience in sales and marketing agreements for hardware and software, software licensing, development agreements, product counseling required. Excellent legal judgment, analytical and organizational skills, and writing and oral communication skills required. Superb interpersonal skills that demonstrate the ability to deal effectively with all levels of the organization locally, nationally and internationally required. Basic knowledge of semiconductor and high-tech subject areas required. Combination of top-tier law firm and in-house experience preferred. Both litigation and transactional experience considered.
