Corporate Counsel, Commercial Affairs The candidate will act as an advisor on legal issues for a broad range of commercial agreements, including confidentiality agreements, material transfer agreements, supply agreements, licensing and collaboration agreements, distribution agreements and contracting arrangements with health insurance providers. Deliver guidance, privacy regulations advice and training on the requirements of the AdvaMed Code, Sunshine Act, federal anti-kickback statutes, and related regulations, guidelines and state laws. Work closely with regulatory, sales and marketing groups to review marketing projects and events. Review legal data and advises organization on appropriate legal action to be taken. Support the company s SEC reporting obligations on an as-needed basis, including reporting relating to conflict minerals. Work closely with corporate paralegal and other internal customers to develop and improve internal processes that will support the growth of the legal department. Function independently and deliver results with minimum supervision. Maintain the confidentiality of Legal Department communications and documentation. Must have Law degree (JD or equivalent) with excellent academic credentials and a license to practice in the state of California. Should have 5+ years of relevant legal experience with complex commercial transactions, including 2 years of in-house experience with a medical device, pharmaceutical or biotech company. Working understanding of fraud and abuse, anti-kickback and other federal and state rules and regulations applicable to medical device companies is needed. Familiarity with basic SEC reporting obligations, including experience with Section 16 reporting is required. Strong communication skills, both written and oral is needed. Expertise in counseling clients on best practices for Commercial functions is must. Familiarity with international distribution and commercial arrangements is preferred.
