Corporate Counsel

Corporate Counsel The candidate will work with the General Counsel to provide general corporate and transactional legal advice to the company while ensuring company policy and various departmental procedures are followed. The guidance will support various aspects of the company s operations and functional departments with a general focus on electronics manufacturing and telecommunications including satellite and internet service provider related issues. Advise on various business transactions, particularly in the areas of procurement, sales, strategic partnerships, technology licensing, and general commercial matters. Provide legal support to various departments on complex business transactions, and propose solutions which balance the risk/benefit. Draft, review, and negotiate agreements to safeguard the company s interest. Provide day-to-day legal advice and counseling on various legal issues as they arise. Additional duties and responsibilities, as assigned, in support of the corporate and legal functions of the organization.

The candidate should have Law degree from accredited law school. Must have Admission to California State Bar. Must have 10+ years of experience practicing law with a focus on general transactional matters. Experience handling international M&A and ISP related matters highly preferred. Experience supporting aviation, electronics manufacturing, telecommunications (especially satellite based), media (TV, film, music), and services provider markets preferred. Experience with IP, advertising law, bankruptcy and litigation management, government contracts, and international compliance including privacy, antitrust, and anti-bribery helpful. Excellent contract negotiation skills, preferably in the areas of complex transactions and and technology licensing. Must be proficient in MS Office software including MS Word, Excel and PowerPoint.
