Corporate Counsel, Business Affairs and Risk Management The candidate drafts, revises, reviews, negotiates and administers agreements and contracts on behalf of the Company (including vendor contracts, event contracts, group business contracts, software and marketing contracts). Advises sales and operations personnel on changes to form contracts, legal obligations and potential claims. Develops standard form contracts to be used by Company employees in fulfilling their job responsibilities and trains such employees in their implementation. Provides day-to-day support on legal matters relating to general hotel operations, sales and marketing. Develops, in collaboration with the General Counsel, compliance programs, record retention guidelines, and other compliance programs (GDPR, PCI, etc.) In collaboration with the General Counsel, researches and anticipates legal issues impacting the Company. Assists the General Counsel with other legal department projects, as appropriate. Stays abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company's practices. Assists in the management and renewal of the Company's insurance program, including evaluating adequacy and scope of insurance coverage, negotiation of terms and pricing, and policy administration. Keeps abreast of industry/market trends impacting insurance and risk. Assists evaluating and managing automobile liability, fire, and property damage claims, including communications with attorneys, claims reviews, and investigations. Assists in the evaluation and negotiation of settlements of disputes directly with guests. Assists in the supervision of insurance panel counsel in general liability claims. Occasionally attend hearings, depositions, and trials. In collaboration with insurance consultants and General Counsel, resolves coverage disputes. Assists in the planning, design and implementation of overall risk management strategies and processes with the goal of reducing total cost of risk. Advises on the design and implementation of preventative safety programs to develop and promote an effective loss control culture in the Company. Must have JD degree from an accredited law school, plus a 3+ years of experience as a practicing lawyer in California, preferably in a related and relevant field (e.g., hospitality, commercial contracts, corporate law, insurance, or general business). Experience in investigation methods, documentation, techniques and policies and procedures related to processing and adjusting claims is needed. Experience in hospitality industry is a plus. Proficiency in the Microsoft Office Suite (Word, Excel, PowerPoint and Outlook) is needed. Ability to read, analyze, and interpret common business journals, financial reports, and legal documents is needed. Ability to respond to common inquiries or complaints from customers, regulatory agencies, or members of the business community is essential. Ability to work with mathematical concepts in finance, probability and statistical inference is needed.
