Corporate Counsel The candidate reports to the GC and is responsible for contract review/drafting, contract administration, general transaction work and providing internal legal guidance. Draft, negotiate, review and revise various types of agreements, including debt purchase and sale agreements, service agreements, non-disclosure agreements, independent contractor agreements, consulting agreements, and other vendor agreements. Review affidavits, releases, and other debt litigation related documents. Manage and monitor pending litigation and litigation threats. Work with various departments and outside collection agencies and legal counsel. Prepare written summaries of various contracts for inter-departmental use. Communicate contract deliverable requirements to various departments. Provides direct contract support such as the review and approval of contractual documents to ensure protection of company's contractual/risk posture, satisfaction of contractual requirements and adherence to company policies. Conducts contract negotiation and contract administration to provide for proper contract acquisition and fulfillment accordance with company policies, legal requirements, and specifications. Provide internal guidance on various legal matters. Coordinate with other departments in diligence efforts and audits working closely with the company s business development, compliance and vendor management teams.
The candidate should have J.D. from and ABA accredited law school and admitted to California state Bar. Must have 2-3 years of practicing experience with a law firm or in-house legal department. Must have contract experience. Exceptional problem-solving skills and business-oriented approach to resolving legal issues are needed. Should have exceptional written, verbal and interpersonal communication skills. Some knowledge of SEC rules and regulations preferred. Working knowledge of FDCPA, FCRA, CFPB and collections related activity a plus.
