Corporate Counsel The candidate will work closely with firm Digital Platform and Experience (DPE) division to provide legal support, ensure infrastructure and system readiness, support development teams, and help Firm meet customer needs for modern and digital interaction with Firm. Will work closely with the Senior Director and Senior Corporate Counsel for the division to advise on and manage legal affairs on a broad range of issues including contract, intellectual property, vendor management, systems integration, compliance, corporate policy and any other issues impacting Firm's goals and long-term strategies. Work with other professionals in the legal department on a variety of matters, including the development and execution of policies, procedures and processes. Support and serve as first point of contact on all legal issues for our Digital Enterprise Services team within the Digital Platform and Experience (DPE) division, as well as various engineering and development teams within other areas of DPE. This will include working closely with legal business partners associated with those groups. Partner with associated business functions on all aspects of the business, including marketing, corporate development, and business models. Participate as a proactive business partner to leaders within the organization and build a trusted advisor relationship; engage with team members at all levels. Understand the strategic initiatives, roadmap and release cycles of technology and services developed and supported by DPE. Exercise excellent legal judgment to provide practical, clear, and concise counsel. Develop and implement processes, trainings, and risk positions to enable DPE s rapid business execution while mitigating risk. Support product and service readiness and release by identifying and driving resolution of issues related to intellectual property matters, privacy, data security, marketing, competition, and other legal and regulatory issues. Partner with the company s privacy, security, and compliance groups to understand and provide input on practices and systems, ensuring legal and regulatory requirements are met. Assist in the review of marketing materials and public announcements. Contribute to developing and implementing vendor policy, process, and templates. Draft, review and negotiate a variety of contracts, including software development agreements, software licenses, open source licenses, evaluation agreements, and vendor agreements.

The candidate must have JD degree from ABA accredited university and member in good standing of the California Bar. Should have 3 years of in-house experience at a technology (SAAS, PAAS and/or IAAS) company. Prior experience providing legal support to software and cloud service businesses at a well-regarded law firm is preferred. Strong project and program management skills is required. Expertise in inbound technology licensing agreements, general contracting, intellectual property, vendor management, systems integration and compliance law matters is needed. Strong knowledge of data analytics and privacy law in pertinence with a leading technology company; experience supporting platform management teams is a plus. Technologically savvy and able to learn Firm products and services, technologies and business is must.
