Corporate Counsel, Product The candidate will help build the legal function at the company. Will be providing expert legal advice in a fast-paced business environment. Report to the Senior Product Counsel and be an individual contributor on a close-knit legal team, working with peers and staff to enable their development and the development of our department. Be comfortable leading the firm's team on a deal, interacting with internal and external management, and making quick decisions that comply with company policy and strategy. Providing primary legal support for programs and transactions to support product development, inbound technology transactions and associated templates, procurement, policies and processes to streamline procurement. Working with product management, product marketing and engineering, among other groups, to develop and implement a legal support model that complements agile development and legal aspects of the related product launch process for a SaaS company (including privacy by design, trademark clearance, export compliance, open source clearance, product specific contract terms and contract vehicles). Providing legal support for a variety of technology transactions, including those with customers, channel partners or technology partners. Providing legal analyses of applicable laws, regulations and industry guidance that impact product development, operations and commercial agreements, and assist in the design and implementation of appropriate policies to ensure compliance, especially with respect to data protection and privacy. Proactively communicating issues back to management and drive good business, legal and operational processes throughout the organization; drafting and implementing related policies; travel as requested. The candidate must have experience with technology transactions, including those related to co-marketing, co-development, inbound OEM, hardware, software and data licensing. Experience with transactions with Fortune 1000 companies, and Channel (VAR, OEM, SI, etc.) programs and relationships required. Experience with open source licensing and clearance preferred; experience with data security and privacy issues preferred. 6+ years experience as an attorney, with previous in-house experience preferred. Law firm (AMLAW 200 or equivalent) experience preferred, especially in business transactions, litigation, intellectual property and/or licensing. Must have excellent academic performance. Member in good standing of a State Bar in the United States; California preferred.
