Senior Corporate Counsel The candidate will be responsible for providing, overseeing and coordinating legal services relating to corporate functions, including: structuring, drafting and negotiating corporate and transactional documents; engaging in activities to mature the company s governance structure; structuring, drafting, negotiating and managing the processes relating to complex client and vendor contracts; and analyzing and advising the company on laws and regulations applicable to the various aspects of its business; proactively contributing to the development of the legal department and development of policies and procedures for the company; initiating, developing and managing business relationships; contributing to the increasing effectiveness of the legal department and the success of the company by evaluating and improving interfaces between departments; managing and assisting team members in assigned projects; participating in departmental training; and performing other duties as assigned. Oversee, formulate, draft, negotiate and manage the process relating to corporate documents and transactions. Structure, evaluate and negotiate corporate agreements to best protect and promote firm s interests and to reflect agreed business terms. Create and manage the refinement of form documents to promote firm interests and facilitate an efficient contracting process. Participate in and drive the legal aspects of corporate mergers and acquisitions and strategic transactions through diligence, documentation and integration support. Support the Finance Department on corporate finance and other bank and financing-related matters. Support corporate governance activities and other initiatives to mature the company. Determine appropriate action to monitor and ensure compliance with corporate agreements and legal obligations, ensuring follow-through to resolution. Oversee and direct the formulation, development, implementation, and revision of corporate policies, procedures, and strategies, as appropriate. Proactively protect the company s legal interests and maintain operations within the scope of established law. Partner with management and external contacts to identify and resolve corporate issues. Provide legal advice to business executives on statutory and regulatory matters striving to protect the company s legal interests in accordance with established policies and procedures. Confer and correspond with other in-house counsel and members of executive and management staff to acquire information on matters involving regulatory compliance and advise executive and management staff on the proper actions to be taken by the company. Develop and manage policies and procedures to ensure compliance with laws and contracts. Monitor and analyze federal, state and local laws, regulations, rules and practices related to firm s business. Prepare communications for internal and external clients to address regulatory developments. Conduct or oversee audits to ensure compliance with laws and contracts is achieved and maintained. Assume responsibility for a variety of functions that assist with the continued development of the department and company. Work to establish and refine systems and procedures for the legal department that will assist the department in working more efficiently and eliminating errors. Proactively strive to protect the company s legal interests and maintain operations within the scope of established law. Establish necessary policies and procedures as required by law and/or useful or necessary in protecting the company s operations; review any change is in the company s policies and procedures and ensure compliance. Manage new employee and departmental training, addressing questions from the departments, as needed.

The candidate must have JD degree from an accredited college or university and active Member of a State Bar. Should have 3-6 years of increasingly responsible experience in a corporate transactional legal practice at a top tier law firm. Additional in-house experience is a plus. Intermediate knowledge of Word, Excel and PowerPoint is required. Substantial experience and expertise in corporate governance and corporate transaction managers, including complex mergers and acquisitions and other strategic transactions is needed. Expertise in complex commercial contracting, including with respect to SaaS and intellectual property matters is needed. Familiarity with managing intellectual property matters, with a focus on trademarks and copyrights is must. Experience with managing subordinates and assisting in overall departmental management is essential. Excellent verbal and written communication skills is required.
