Corporate Counsel The candidate will support firm's commercial banking and lending businesses, primarily focusing on structured finance, commercial lending and related financial products and services. Will be providing legal and regulatory guidance to business units regarding warehouse lending transactions, securitization transactions, syndicated credit facilities, project finance and other commercial financial products and services. Drafting and negotiating agreements while coordinating with internal stakeholders, external clients and outside counsel. Engaging with various data-related legal topics and coordinating the legal team s response to the same. Developing and updating template agreements for structured finance, commercial loan and other financial products. Developing and conducting training for business unit members. Managing outside counsel. Some travel, generally within U.S. The candidate must have 6 - 10 years experience (either in-house or with a large law firm). Must have exposure to securitizations, warehouse lending and other structured finance products. Exposure to corporate finance, acquisition finance, project finance or commercial loan/credit related transactions is required. Must have experience drafting and negotiating securitization agreements, syndicated credit facilities, warehouse lending agreements or other commercial loan/credit agreements. Must have proficiency with U.S. federal securities laws. Proficiency with Article 9 of the Uniform Commercial Code is required. Should have J.D. Degree from a top tier law school and excellent academic credentials. Must be Active member of a U.S. state bar and eligible to register as in-house counsel in California. Should preferably have a solid track record in structured finance transactions including securitizations, warehouse lending transactions, sophisticated commercial lending transactions, syndicated credit facilities, leveraged loans and project finance. Must have meaningful exposure to some combination of these types of transactions. Exposure to the FinTech industry is desirable.
