Corporate Attorney The candidate will be responsible for leading corporate strategic and tactical legal initiatives. Will provide senior management with effective advice on firm's strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The corporate attorney is directly involved in complex business transactions in negotiating critical business dealings and contracts. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Acts as key attorney/legal advisor on all major business transactions, including acquisitions, intellectual property, divestitures and joint ventures. Evaluates the merits of major court cases filed against or on behalf of firm's, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Research, anticipate and guard firm's against legal risks. Interacts with other firm's group attorneys. Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC et al laws and regulations (IP, financial offerings, compliance issues, labor, transactions, agreements, lawsuits, and patents). Structures and manages firm's internal legal function and staff as applicable. Oversees the selection, retention, management and assessment of all outside counsel. Advises on legal aspects of firm's financing, including evaluating and advising on current and future business structures and legal entities. Draft and administer all contracts. Attend company meetings.
The candidate should have BS and J.D. degrees obtained from a law school in the United States is required. MBA is a plus or other advanced degree(s) in business or related is highly desired. Must have passed California Bar. Must have 3+ years of related work experience as corporate attorney, working for a law firm or private company. Must have proven comparable law firm experience. Must have intermediate to advance computer skills and applicable industry software applications including MS Office Suite.
