Corporate and Compliance Counsel The candidate will be responsible for drafting and negotiating a wide variety of contracts and generally supporting the legal and compliance needs of a fast-growing medical device company. Will be required to work cross-functionally among all departments and interact with a wide variety of business stakeholders, including company Managers and VPs. Draft and negotiate a wide range of contracts, including purchase agreements, confidentiality agreements, consulting agreements, HIPAA business associate agreements, clinical trial agreements, educational grant agreements, development and supply agreements and various vendor services agreements. Support and maintain of firm's HCP expenditure and payment reports as required under the Federal Physician Payment Act (Sunshine Act) and state laws. Identify legal and business risks and advise firm's internal clients on contract interpretation, regulatory compliance (including Sunshine Act, Anti-Kickback statute and False Claims Act), anti-bribery laws and other legal risks. Manage firm's Data Privacy Program (GDPR, HIPAA, and state laws). Support HR on employment issues, including candidate recruitment and restrictive employment covenants. Assist with the development of Company policies and procedures. Implement and oversee an efficient and effective contracts management system, including an approval and negotiation process that complies with appropriate controls and procedures.

The candidate should have JD degree from an ABA accredited law school. Must have 2 years of legal and contracts experience, preferably in the life sciences industry. Must have strong written, verbal and organizational skills. Must have strong MS Office skills MS Word, Outlook and PowerPoint. Must have experience with contract management systems. Familiarity with SalesForce.com, Doc-u-sign, and X-Author preferred. Must have experience identifying legal and business risks to ensure compliance with legal department requirements and company policy. Must have experience working cross-functionally with internal customers from Finance, Marketing, Sales, Operations, R&D and HR. Must have experience negotiating contracts with vendors, hospital systems, healthcare providers and group purchasing organizations.
