Corporate Counsel Responsibilities: Assist with corporate and securities compliance and governance practices. Oversee corporate governance for subsidiaries. Prepare, file, and manage Section 16 filings for directors and officers. Assist in administration of equity incentive plans. Maintain corporate minute books for and its subsidiaries. Assist with stockholder meeting processes. Manage corporate qualifications for and its subsidiaries. Conduct research on legal trends and developments in corporate governance and securities compliance. Assist with legal aspects of SEC reporting process, including preparing SEC reports and disclosures . Assist with all aspects of corporate transactions including financings, licenses, corporate partnering deals, leases, etc. and support other special projects. Draft and prepare various legal documents, correspondence, memoranda, etc. Perform miscellaneous job-related duties as assigned and/or necessary. Work collaboratively and responsively with a broad range of people and maintain and build great relationships between legal, finance and human resources.

Qualifications: Strong academic background, including JD Degree or LLM from a top U.S. law school. Licensed to practice law in the United States. 2+ years of experience in a reputable law firm, including significant work in a corporate & securities practice representing public companies and drafting SEC documents. Very strong general contract and SEC disclosure drafting skills. Ability to manage governance and compliance processes with little oversight. Excellent ability to issue spot and integrate legal advice with business goals. Strong verbal and written communication skills, including the ability to communicate concisely. Working knowledge of intellectual property law a plus. Extremely strong interpersonal skills including maturity, creativity and a high energy level. Team-oriented and able to interact effectively and influence peers and all levels of management. Ability to work well in a cross-functional team environment, as well as in a small team environment.
