Senior Corporate Counsel The candidate will structure, draft, negotiate and close a wide range of transactions for, and provide general commercial advice to, the company Business Development organization. This position is an individual contributor and reports to the Senior Director and Associate General Counsel. Responsibilities; Structuring, drafting negotiating and closing complex transactions, including subscription/cloud, channel reseller, integrated reseller, SI/consulting alliances, referral, distribution, tech transaction and strategic partnership agreements. Taking a leading role in BD Legals efforts to: (i) define and develop US and international partner and channel programs and related corporate policies, procedures and programs; (ii) architect new legal templates for emerging business models; and (iii) provide training and guidance to business partners and other members within company Legal. Providing counsel and guidance to management, global business units, sales/marketing teams, and other orgs. Supporting risk management and regulatory compliance efforts, including in areas touching data security, privacy, export controls, intellectual property, and antitrust/anticompetition laws.

The candidate should have Exceptional academic and law firm credentials preferably having a solid mix of both law firm and in-house experience and admitted into and in good standing with at least one state Bar. Must have 7+ years structuring, drafting, negotiating, closing and advising on a variety of complex tech-related transactions; ideally, with some experience in the context of master SaaS subscription agreements, SaaS reseller/channel partnerships, integrated system vendor partnerships, OEM relationships, strategic partnerships, SI relationships/professional service partnerships, and technical licensing. Should have excellent written and verbal communication skills, with ability to tailor communication as appropriate to different audiences and contexts and translate complex concepts clearly and concisely. Must have strong understanding of data privacy and data security, particularly as it relates to the SaaS industry. Should have ability to develop and maintain strong working relationships with internal clients, company Legal team members, and cross-functional partners. Strong organizational skills and ability to manage competing priorities. Must have ability to work collaboratively with legal area specialists to spot and resolve issues arising in connection with deals/deal models and cross-functionally with business, finance, product, marketing and security team members.
