Corporate Counsel, Legal & Compliance The candidate will work with the Executive team and key personnel on a broad range of initiatives, and be responsible for the efficient operations of the Legal Department. Core subject matters are transactional commercial licensing agreements/NDAs, responses to RFPs and third party vendor vetting requests; additional areas of focus include regulatory compliance, corporate compliance and corporate governance; and co-management of the companys limited trademark and patent portfolio. The role will also be critical in evolving and overseeing our internal compliance management processes. Draft, review, and negotiate all company contracts including outbound sales and licensing, inbound services and partnership agreements & NDAs; coordinate with internal teams as needed; provide direction to CEO and Executive team on contract negotiations. Oversee contract execution process and ensure Legal database is accurate and up-to-date. Create and maintain library of standard agreements. Establish and manage contract scanning, electronic filing and database processes. Establish and manage document retention review and tracking of legal department files. Conduct legal and compliance research and maintain regulatory database; track and report regulatory changes. Educate the business on applicable regulatory requirements; educate Sales on legal/contract negotiation to support a more efficient contract cycle. Develop, maintain, and enforce policies and procedures to prevent illegal, unethical, or improper conduct. Audit and advise the business on legal risk of marketing and advertising materials. Oversee day-to-day operation of compliance department, including responding to customer, partner, and vendor due diligence requests. Evolve and enhance companys existing Compliance and Risk Management processes and capabilities. Assist in the tactical build-out of a compliance management system, which may include managing the compliance testing program, creating the testing plan and schedule, and reporting findings to committees and the Executive team. Create original content in various media (including articles, blogs, and podcasts) regarding regulatory and compliance topics pertinent to the mortgage and settlement services industries, for distribution through the companys website and industry publications. Manage companys intellectual property portfolio comprising trademark, copyright, patent and trade secret assets. Oversee contracted outside legal counsel on as-needed basis; namely, Regulatory Compliance, HR/Employment law and Patents/Trademarks and Corporate law. The candidate should have J.D. with state bar admission, preferably in California. An attorney with at least 2-3 years' experience in licensing agreements & NDAs; experience in real estate data and information or financial services (mortgage lending, banking, or title insurance) strongly preferred. 2 + years experience working in a SaaS company as a contract negotiator/administrator with large enterprise clients strongly preferred. Familiarity with laws and regulations governing the above industries (OCC, RESPA/TILA, CPFB, FCRA, Consumer Financial Laws, such as Privacy and GLB) and general awareness of relevant regulatory arena is desired. Should preferably have strong legal skills across a broad range of areas and familiar with applicable legal concepts, practices and procedures. Solid understanding of business operations, regulatory compliance and corporate compliance is desired. Experience establishing or overseeing an enterprise compliance management system strongly desired. Excellent communication skills, both written and verbal.
