Corporate Venture Capital Counsel Duties: Manage pre-investment documentation and provide general commercial and contract legal support. Monitor and review board and stockholder communications from portfolio companies. Provide legal advice and service on early stage strategic investments and strategic development/commercialization agreements, including international aspects of listed items. Manage legal process and due diligence for strategic investments in early stage and growth stage companies. Draft and negotiate term sheets and final definitive documents for investments, strategic partnerships, joint ventures and related technology development and commercialization projects. Provide advice on shareholder/board matters and consent(s). Provide general day-to-day legal advice and research legal issues as necessary, including for new program elements. Engage with outside counsel. Internally, the team works hand-in-hand with leaders in the business operations, engineering, product development, innovation & IT areas within the group to develop and execute on investment and partnership strategies. Externally, the team works with venture capital firms, incubators / accelerators, universities, entrepreneurs, and other corporations to develop technologies, companies and management teams that help us to strategically grow and transform the business. Provide advice on shareholder/board matters and consent(s). Provide general day-to-day legal advice and research legal issues as necessary, including for new program elements. Engage with outside counsel. Qualifications: JD Degree from an A.B.A. accredited law school; and Bachelors Degree in science or engineering preferred. Admission to CA Bar or Registered In-House Counsel. 6+ years legal experience with venture capital funds, fund investments and M&A transactions, preferably with experience with a corporate venture capital fund. 5+ years as a corporate associate in a law firm. Superior proficiency with Microsoft Office productivity applications: Outlook, Word, Power-point, Excel. Experience with complex patent prosecution, licensing and litigation a plus. Experience drafting/negotiating complex international investment, financing instruments and technology development and IP licensing agreements. Experience working directly with business executives, entrepreneurs, venture capitalists, scientists, and engineers. A results-driven self-starter with exemplary leadership, communication, collaboration and influencing skills Excellent judgment and facility with a blend of technological, legal and business complexity with international dimensions. Highly adaptable professional who would relish working within a complex, fast-paced global organization with a compelling blend of international cultures and dimensions. Excellent legal judgment, analytical and organizational skills, and writing and oral communication skills. Team player with an energetic, positive and proactive attitude. Ability and desire to work in a fast-paced environment and deal with ambiguity. Ability to interact with internal business partners and interdepartmental colleagues locally, nationally and internationally.
