Corporate Counsel, Transactional Law The candidate will provide responsibilities include: Negotiate and draft contracts customary to a fast-growing biotech company that is preparing to launch its first product, including: distribution agreements; market access agreements; supply agreements; licensing transactions; clinical trial agreements; software license agreements; agreements with healthcare professionals; various vendor and consulting agreements. Act as point of contact for multiple client groups within the company, leveraging internal and external resources to timely and cost-effectively meet the legal needs of the client groups. Provide primary legal support on contracts process, a heavy workload of contractual matters, and refine contracts processes. Provide subject matter expertise, and legal support and guidance, on the development and application of standard operating procedures (SOPs) and related supporting procedural documents. Manage outside counsel in the United States and Europe. Collaborate with European colleagues. Provide ad hoc legal support on special projects as needed. The candidate must have excellent academic qualifications, JD is required; should have 5+ years experience including biotech/pharma experience. Must have license to practice Law (California is strongly preferred). Must have excellent interpersonal and client relation skills. Must have ability to work in a fast-paced environment with multiple competing deadlines, leveraging internal and external resources to meet multiple simultaneous deadlines. Must have willingness to pitch-in and help on legal projects across the organization. Must have experience with contract management system to track contract requests; create and manage contract templates; train business partners on contracts policy. Must have excellent research, writing, counseling and communication skills and a positive client service orientation. Must have ability to work independently, as a team member, and across the organization. Must have accountability, sound judgment, and the ability to take ownership of an issue and provide concise and timely advice.
