Associate Corporate Counsel Duties: Assist in corporate governance matters, including interfacing with ISS and Board/Committees charter reviews, Prepare board and stockholder minutes/resolutions for Maxim and its subsidiaries, Prepare and review SEC filings, including Form 8-Ks and the annual meeting proxy statement and related documents, and Forms 10-Q and 10-K, Maintain the corporate database for the Companys subsidiaries and other entities which tracks key corporate information, Support M&A activities, including conducting due diligence and preparing due diligence reports, Review financing documents and conduct due diligence for proposed investments to be made by the Company, Assist in a variety of issues related to employee equity matters domestically and internationally as well as support the corporate compliance and internal relations group on an as needed basis, and Assist in corporate real estate matters, including lease reviews and related transactions.

Qualifications: JD Degree from an accredited law school. Licensed to practice in the State of California. 2+ years of either law firm and/or in-house experience in the area of general corporate matters, mergers and acquisitions, financing transactions (equity and debt), SEC reporting and disclosures and corporate governance matters, preferably in relation to technology companies. Strong oral and written communication skills as well as project management skills. Quality consciousness in your work product and high attention to detail. Proficiency with Microsoft Word, Excel, PowerPoint and Outlook. Detailed knowledge of State and Federal Securities Laws and regulations, Delaware General Corporate law and Nasdaq requirements. Familiarity with employee equity matters, both domestically and internationally. Ability to collaborate and work effectively with internal clients . Ability to prioritize multiple tasks, demands and work under pressure to meet strict deadlines. Ability to simplify complex issues and work in a practical, results oriented manner. Positive and enthusiastic attitude, ability to come up with practical solutions. Removal Date: 11/03/2019
