Corporate and Securities Counsel The candidate will advise on a variety of corporate and securities matters, including public company reporting and securities compliance, board matters and corporate governance, corporate finance transactions, contract drafting and negotiation and other general corporate matters. The individual must thrive in a high-volume, fast-paced, high-performing and collaborative corporate environment.The person in this position will, among other things:Prepare SEC filings, including 10-K annual reports, 10-Q quarterly reports, 8-K current reports and annual proxy statements.Advise and provide support on corporate governance matters, including matters relating to the board of directors and senior management, the annual meeting of stockholders, corporate policies and investor outreach.Review and advise on press releases, the corporate website, investor presentations, CSR matters and other external communications.Oversee Section 16 filings, administration of 10b5-1 plans and trading windows. Provide support on treasury and finance transactions, including debt offerings, credit agreements. Support HR on equity plans, severance plans and other benefit offerings. Be the primary point of contact on legal contract issues for one or more departments. Draft and negotiate a wide range of legal documents typical of a biopharma company, including banking-related agreements, manufacturing and supply agreements and various services agreements. Assist with coverage of general corporate and legal matters, as needed. Demonstrate willingness and ability to work with and coordinate activities across a large number of individuals across various departments globally. Appropriately manage a heavy workflow, set appropriate priorities with clients and deliver results efficiently. Advance a positive spirit of partnership and collaboration with internal clients and legal colleagues. Exercise mature and reliable judgment while enjoying the companys enthusiastic and fast-paced environment. Should have Juris Doctorate from a nationally recognized law school. Admitted to practice in at least one U.S. state bar (preferably California). Should have 4 years of relevant corporate and securities experience at a leading national law firm, with ability to handle responsibility with a minimum of supervision. Prior in-house corporate law experience is a plus. Highly proficient knowledge of SEC and Nasdaq rules and regulations and Delaware corporate law. Experience drafting and negotiating a variety of legal contracts and transactional documents. Ability to manage and serve a wide range of clients within the company by prioritizing projects and responding efficiently and pragmatically to urgent situations and demanding clients.
