Corporate Counsel The candidate will partner with various internal business teams to review, draft and negotiate a wide range of commercial arrangements and work with the Deputy General Counsel and Associate General Counsel to support and advise on various corporate governance and compliance matters. Will manage a substantial and fluctuating commercial contract workflow (coordinating directly with both internal business partners and outside vendors and legal counsel), in a responsive and time-sensitive manner. Review, draft and negotiate commercial contracts and related arrangements, with a focus on agency, brokerage, consulting, vendor and confidentiality agreements, directly advising business partners on legal risks and recommendations. Assist the Associate General Counsel in supporting company's M&A activity and managing company's corporate structure and corporate governance matters. Support the Deputy General Counsel with company's insurance and regulatory compliance matters. Advise on a broad range of other corporate and legal matters, particularly in the areas of corporate governance, commercial contracts and insurance and regulatory compliance. Should have a J.D. degree from a top tier law school and admission to practice in one US State (NY or MA preferred). Must have 1-3 years of corporate transactional experience at a top-tier national or international law firm, handling a variety of corporate and compliance matters. Exceptional negotiation and drafting skills are required.
