Senior Corporate Counsel

Senior Corporate Counsel Duties: Respond to legal requests from Sales, Sales Operations, Marketing, PeopleOps, Engineering, IT and other internal clients and determine the appropriate course of action. Draft, analyze and negotiate outbound cloud services agreements (specifically focusing on master subscription agreements) with customers to ensure that they comply withs policies and risk tolerance. Draft, analyze and negotiate various partner agreements withs business development, partner and marketing teams. Review, draft and negotiate a wide variety of inbound SaaS/software and vendor agreements to supports procurement activities, which include master services agreements, software licensing agreements and other commercial agreements to ensure that they comply withs policies and risk tolerance. Strong familiarity and comfort level negotiating data processing addendums with both existing and new customers and vendors. Work with Finance, Sales Operations and other business teams to ensure approval of relevant terms. Assist in the development of playbooks and contract templates. Assist with the implementation of an internal contract management system. Continuously build relationships with key stakeholders to provide practical legal advice. Qualifications: 5-10 years of in-house legal experience for an emerging growth company, with a focus on technology transactions. A strong background in commercial contract law, a demonstrated ability to evaluate risk and work on multiple types of contracts (on various types of templates) simultaneously. A thorough understanding of global data privacy requirements (EU, US and other relevant regulations) and applicable security principles as they relate to SaaS based negotiations. A track record of managing escalations of critical business and legal issues and resolving accordingly. Be able to effectively prioritize and advance multiple transactions happening simultaneously, often on tight deadlines. Attention to detail, a sense of passion to support *s business and the versatility and confidence to take on challenges that are presented. Bonus: Emotional intelligence driven by intuition. Anticipate the needs of others and work to create an environment of open and honest two-way communications, always ensuring that s values are communicated and instilled in the process. Creative and resourceful and have an eye for detail. Able to immerse and assimilate into **s culture quickly by understanding our business and customers, by quickly learning what matters most, and by building deep relationships with all levels and offices within the company. Extremely approachable and have a good sense of humor. Confident communicator, which a deep belief that authenticity will win the day. A true team player with an orientation to work collaboratively.
