Senior Associate Corporate Counsel - Corporate and Securities Duties: Engage directly with executives across the company to understand company priorities and goals, trends in our business, and other issues facing our employees and business. Assist with the preparation for board and committee meetings and the planning of the annual meeting of stockholders, including working with the office of the CEO in preparing Board updates, assisting initiatives in improving governance, and assisting in the preparation of proxy statements and related filings. Help prepare reports required by and ensuring compliance with the Securities and Exchange Act of 1934 (e.g. Forms 10-Q, 10-K) and the New York Stock Exchange listing requirements. Work closely with our investor relations team in reviewing and contributing to our quarterly letter to shareholders, analyze our public metrics generated by our analytics teams, and analyze investor communications for compliance with securities laws such as Regulations G and FD. Take ownership for and develop a robust global corporate governance program for Zendesk subsidiaries outside of the United States, including researching new entities, supporting regular global updates on international governance to executives, ensuring corporate and securities compliance in international jurisdictions, and dashboarding compliance and maintaining central sources of information. Provide support to the facilities team to help execute a global leasing strategy, including assisting in reviewing, negotiating, and closing complex lease transactions. Work with our awesome stock administration team in equity administration and Section 16 reporting. Provide support for M&A, strategic investments, debt transactions, and other strategic transactions, including assisting in drafting LOIs, standardizing due diligence execution across teams, assisting in drafting and negotiating deal agreements, managing outside counsels as needed, and coordinating post-close matters. Lead and supervise other special or miscellaneous projects as needed.

Requirements: A JD Degree from an accredited law school. Admission in good standing to practice in the State of California. 3+ years of experience practicing general corporate, securities, and M&A law. An ability to come into our San Francisco office (once offices are reopened) 2+ times a week. Flexibility to respond to novel requests and be able to seek feedback. Extraordinary communication skills (both written and verbal) with a strong attention to detail. Ability to provide clear explanations to members of other teams, including senior management. Desire to develop knowledge of business in order to provide specific advice that balances legal obligations and business goals. Appreciation of the impact of a highly satisfied, excited team and enjoyment of working across multiple time zones and cultures. Ability to negotiate and think creatively and effectively balancing legal constraints with business goals. Excellent decision-making skills with a knack for identifying, prioritizing, and articulating the highest impact initiatives. Natural curiosity, technical savvy, and a real passion for working in a customer focused company where business, technology and law intersect. Mentality that no task is too big or too small and a willingness to work together towards solutions with integrity, diplomacy, and tact. A collaborative, upbeat work ethic where can take ownership and have fun.
