Corporate Counsel Responsibilities: Negotiate corporate transactions in close cooperation with the company s finance group. Manage the company s corporate legal affairs domestically and internationally. Manage corporate governance matters. Ensure securities regulation compliance (1933 Act, 1934 Act, Reg. D Offerings, Rule 701 and Blue Sky Compliance for a large, privately-held corporation). Manage venture capital and preferred stock financings and related stockholder relations matters. Oversee private resales of restricted securities transactions. Coordinate Private Tender Offer Transactions. Administer multiple equity incentive plans with stock options, RSUs and restricted stock awards.
Qualifications: JD degree from an ABA-accredited law school. Active Bar membership with ability to register as in-house counsel in California. 5+ years of corporate law experience. Preferred: In-house experience preferred. Experience working for a top-tier law firm. Experience working as an in-house counsel. Experience representing Delaware-incorporated corporations qualified in foreign jurisdictions, including California. Experience with mature private companies. Experience with complex corporate structures and transactions internationally. Experience with 409A valuations, executive compensation and related tax and accounting matters.
