Director, Corporate & Securities Counsel The candidate will prepare and review SEC filings. Develop and maintain policies for compliance with securities-related regulatory requirements, including the Sarbanes-Oxley Act, NYSE listing standards, Regulation FD and insider trading rules, and proxy advisory firm policies. Manage corporate governance and support the company's board of directors and its committees, including partnering with internal stakeholders on board and committee agendas and materials and leading preparation for the annual meeting of stockholders. Advise on investor relations matters, including earnings scripts and announcements, investor communications, appropriate disclosures, investor outreach, and other investor relations activities. Partner with HR on employment, equity plans, and executive compensation matters. Serve as the legal business partner to Finance on a wide range of matters. Lead M&A and corporate financing transactions. Manage, mentor, and develop the corporate team. Opportunity to work on other matters such as commercial transactions. J.D. degree and current Bar membership is required (CA Bar preferred). Should preferably have 8+ years of experience in public company securities, combined law firm. Should have expertise in securities laws and filings and corporate governance matters. Experience working with public company boards and committees is needed. Knowledge of equity compensation plans and executive compensation is required.
