Corporate and Securities Counsel The candidate will oversee and ensure compliance with obligations under federal securities laws and NYSE rules and regulations, including preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports and 1934 Act filings, including leading and filing all securities documentation. Provide support for corporate development activities, including mergers and acquisitions and strategic corporate partnerships. Work closely with our equity team on equity matters, including equity plans, and compensation issues. Support corporate governance processes, including taking lead on general recordkeeping, preparation of board and committee meeting agendas, presentations, resolutions, consents, minutes, and other materials, as well as assisting with our electronic board portal. Provide support and guidance on all other corporate matters, including financial compliance, external communications, and investor relations. Lead counsel for subsidiary structuring, management, and compliance for all entities both domestic and international. Help counsel the business with respect to other legal matters, including tax and insurance. Effectively manage outside counsel as needed. The candidate should have J.D.degree, admitted to any state Bar. Should have 4+ years legal experience in a law firm and/or in-house legal department related to corporate and securities. Able to work autonomously while exercising sound judgment in a fast-paced environment. Should be an experienced and skilled corporate and securities attorney. Have excellent verbal and written communication skills. Have excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines. Have a proven ability to balance legal risk and business objectives. Have a positive attitude and high EQ.
