Associate Corporate Counsel Responsibilities: Draft and negotiate commercial agreements of all types including complex product development agreements, SaaS agreements, supply chain agreements, master service agreements, and NDAs. Maintain terms of service, privacy notices, user manuals and warranty terms, and other user agreements. Evaluate all current and new compliance regulations, review processes and lead training sessions regarding corporate compliance matters. Perform periodic audits on company procedures and processes. Design and monitor control systems to deal with violations of legal rules and internal policies. Review and evaluate company procedures and reports to identify hidden risks or common issues Work closely with Engineering and Product teams to understand and advise on new technologies, products, and features, from early development stages through and after launch Understand and help to advance the strategic initiatives, product roadmaps, research and development activities, and release cycles of product features, anticipating and helping to mitigate risks along the way Advise on a range of questions that may arise in connection with a hardware and software engineering design and manufacturing business, including those related to product safety and compliance, contractual relationships, warranty programs, privacy, data security, third party intellectual property or open source use, and other industry-specific regulations and standards Help build scalable and effective processes for providing legal input on strategic product and engineering initiatives Maintain files and records of all contracts and legal documents through contract management system; help draft and implement policies and processes for improving contract administration. Develop and enforce processes and policies to manage outside counsel spend. Assist with budget matters and optimizing workflows within the legal department. Report on key operational and substantive metrics for the legal department that will better inform decision-making, including matter and work product analyses. Identify and implement legal department tools to streamline new or existing practices, as well as manage design, rollout, and training for new systems. Collaborate with colleagues on and off the Legal Team on multidisciplinary legal matters, and assist in other projects as needed Support General Counsel on driving strategic projects to streamline processes, improve forecasting and reduce spend. Assist General Counsel with M&A due diligence and contract review Collaborate with cross-functional teams including sales, support, service, business development, regulatory, IT, and finance as well as other departments Work with outside IP counsel in managing the IP portfolio.
Qualifications: JD Degree required; or equivalent degree BA or BS in Law, Business Administration, engineering or communication studies preferred. Strong consideration will be given to candidates possessing a MBA or LLM in Business Law. Licensed to practice law in one of the 50 contiguous United States. Preference will be given to candidates with a State Bar license in California, Texas, or Minnesota. 3-6 years relevant experience; a focus on advising product and engineering teams, preparing commercial contracts and advising on corporate compliance is strongly preferred Engineering or computer science background is a plus In-house experience, preferably with a multinational technology manufacturing and engineering design company and SaaS business models. Strong experience in developing, implementing and using legal department technology solutions (e.g. billing, matter management, IP management, contract management, DocuSign, etc.) Proficiency with intellectual property laws and concepts, plus a working knowledge of global privacy and consumer protection laws, regulations, and industry best practices Strong background in negotiating supply chain and manufacturing agreements, SaaS agreements, and IP development agreements is strongly preferred Strong business acumen and ability to advise on business-related legal issues Enjoy working in a rapidly changing, disruptive business. Have a problem solver/troubleshooter mindset. A collaborative and resilient attitude with a strong work ethic is desired. Solid strategic planning, organizational, and project management skills with the ability to multi-task and assimilate new information quickly. Well-honed collaboration skills and strong business acumen required. A high level of integrity and character. Open to fast paced work style and results driven. Ability to build rapport across company while quickly and confidently gaining respect of others, including strong interpersonal skills, good listening, and coaching skills. Solid technology skills, including a proficiency with MS Excel, Word and PowerPoint. Proven history of advising clients from multiple functional departments within a company. Supervisory Responsibility: This position has no direct supervisory responsibilities.
