Corporate Counsel The candidate will be Primary legal team responsibility for, and manage outside counsel with respect to, all capital markets and financing transactions, including equity and debt financings and securitizations. Provide practical legal advice and manage, negotiate and execute on a broad range of corporate matters including governance, investor relations matters, preparation of board and committee materials and records, insurance and equity plan administration. Review and negotiate commercial agreements, including MSAs, license agreements, partnership agreements, indemnity agreements and review, negotiate and advise business partners with respect to various agreements with program sponsors and other program stakeholders. Provide advice and counsel to treasury and asset operations teams on their day-to-day business needs, including drafting and reviewing agreements, notices and other documentation. Primary legal team responsibility for managing the Company's real property portfolio, including leases and subleases. Manage outside counsel on a variety of matters, including litigation, as needed. should have Juris Doctorate (JD) from top law school and a state bar member in good standing (California or New York preferred). 5-8 years of experience is required. Should preferably have Corporate finance and capital market experience. Consumer finance experience a plus.
