Corporate Counsel The candidate will serve as the primary lawyer responsible for supporting the benefits team relating to U.S.-based health and welfare benefit plans and will report to Senior Corporate Counsel, Global Employee Benefits. Will include counseling senior leaders, employee benefits professionals, and plan fiduciaries on day-to-day benefits matters, fiduciary compliance, plan governance, and legal compliance (e.g., compliance relating to ERISA, the Internal Revenue Code, COBRA, HIPAA, ACA and other federal laws as well as applicable state laws such as the SFHCO). You will also support due diligence, negotiation and implementation of M&A transactions with regard to employee benefits matters involving U.S. employees. Advising the benefits team on daily matters, participating in long-term benefits planning, drafting and amending plan documents, reviewing SPDs, SMMs, and participant communications, as well as reviewing and negotiating benefits-related provisions in contracts with service providers. Managing benefits litigation/subrogation, ERISA document requests, QMCSOs, government agency investigations, audits and administrative charges, developing and delivering training, as well as the assessment and supervision of outside counsel. This position will work actively with internal clients and the business as well as human resources and requires the ability to travel and work extended hours when necessary.
The candidate should have 7+ years of legal experience. J.D. degree and membership in good standing in one State Bar is required. Strong law firm background counseling large clients with self-insured plans is required. Must have excellent organizational skills, with the ability to manage multiple projects at once, follow through and meet deadlines using pragmatic judgment in ambiguous situations. Ability to work independently while being able to contribute successfully to cross-functional teams is required. The ability to demonstrate sound judgment even in ambiguous situations based on common sense and analysis of risk is needed. Must have strong written and oral communication skills. Must have strong analytical and computer skills. A mix of corporate law firms and in-house experience is preferred. A minimum of 5+ years of legal experience as an employee benefits attorney is a plus. A deep understanding of ERISA fiduciary rules and HIPAA from the group health plan/covered entity perspective is desired.
