Corporate Counsel Duties: Supporting the company's corporate governance. Support other general corporate matters, including parent and subsidiary entity management, and securities and corporate development matters. Assist in preparing corporate governance matters, including the preparation of Board and Committee materials, policies, and charters. Conduct legal research on a variety of complex corporate governance issues. Assist with special corporate projects, including capital markets transactions and M&A. Support subsidiary governance including with respect to board meetings, state filings, resolutions and consents, returns and filings. Work closely with Square's People and Equity teams on Square's equity plans and ESPP. Work collaboratively to prioritize business objectives and support the corporate aspects of being a public company. Work closely with our internal business, tax, accounting and compliance teams, as well as with external advisors and experts. Manage projects effectively, with a team-oriented approach.
Qualifications: JD Degree. Membership in at least one state bar (preferably California or New York). 4+ years of relevant corporate experience at a major law firm, with experience working with large public companies. Familiarity with NYSE/SEC corporate governance requirements. A combination of both in-house and law firm practice experience is preferred. Excellent research and writing skills and project management ability. Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions. Superior interpersonal skills, ability to be nimble and team-first attitude. Sound and practical business judgment. Strong decision-making abilities and attention to detail, sometimes under time pressure.
