Corporate Counsel, Corporate & Securities Duties: Provide legal advice with respect to securities matters, including equity plan administration, 10b5-1 Plan support and executive compensation. Provide corporate governance advice and support, including preparation of Board and Committee meeting materials and drafting of policies and procedures. Assist with the preparation of the company's proxy statement and coordinate matters related to the company's annual meeting of stockholders. Spearhead the company's stockholder engagement program. Develop, implement and maintain investor/proxy advisory policy management system. Partner with cross-functional teams including Investor Relations/Public Affairs, Human Resources, IT, Finance, Facilities, Discovery, Development and Pharmaceutical Operations & Supply Chain on various projects, including the development of Environmental, Social and Governance disclosures. Work closely with Stock Administration in support of Section 16 reporting. Ensure compliance with SEC and Nasdaq rules and requirements, and as needed, support the preparation of periodic SEC reporting on Form 10-K, Form 10-Q and Form 8 K. Provide support for corporate development activities. Support Investor Relations/Public Affairs teams, including review of press releases, investor presentations and other materials, as needed. Coordinate with and efficiently manage external counsel. Help to develop, implement, and continually improve company and team processes and procedures.

Qualifications: BS/BA degree in related discipline. JD Degree from a top law school and must be admitted to practice, preferably in California. 5+ years of experience as an attorney in a major law firm or in-house legal environment. Biotechnology or pharmaceutical industry experience preferred. Possesses executive presence and ability to interact comfortably with executives and senior management, clear and concise verbal and written communication skills, and must have excellent interpersonal communication skills. Ability to implement organizational or team objectives. Ability to develop creative technical and/or business solutions for complex problems and implement organizational or team objectives. Must be efficient, detail-oriented and have strong organizational skills. Ability to handle multiple tasks simultaneously and with the ability to re-prioritize on short time frames. Acts responsibly and conscientiously. Works under pressure to meet specific deadlines. Works independently and in a team environment. Dedicated to quality, reliability, and highest professional standards in all work tasks. Must be a self-starter and quick learner. Must have good judgment. Requires strong computer skills (e.g., Microsoft Office Suite (Word, Excel, PowerPoint, Document Comparison programs, etc.) and Internet).
