Senior Counsel, Corporate and Securities Duties: Provide legal advice on a broad range of corporate and securities matters. Support compliance with NYSE and SEC requirements, including the preparation of 34 Act reports (Forms 10-K, 10-Q and 8-K). Provide corporate governance advice and support, including preparation of Board and Committee meeting materials and minutes. Assist with the preparation of the proxy statement and coordinate matters related to the annual meeting of stockholders. Work closely with stock administration in support of Section 16 reporting. Aid in executive compensation matters, including in the preparation of compensation committee materials. Partner with communications and investor relations functions, and review earnings materials and press releases. Support corporate development activities and other strategic corporate projects. Develop, implement, and improve team processes and procedures. Partner with cross-functional teams including Human Resources, Accounting, SEC Reporting, Communications, Investor Relations, Tax and other Legal functions. Qualifications: JD Degree from an accredited law school (top school preferable) and admitted to practice. 4-6 years of corporate law experience (with 3+ years at a major law firm). A demonstrated experience advising on a variety of corporate and securities law matters (including 34 Act reporting). Impeccable integrity and accountability. Work well under pressure to meet specific deadlines. Exercise prudent judgement and able to develop business practical solutions to complicated technical problems. Ability to interact comfortably with executives and senior management. Possess clear and concise verbal and written communication skills. Adapt well to a rapidly changing business environment and thrive on innovation and change. Can efficiently manage multiple transactions and able to re-prioritize on short notice. Effortlessly balance efficiency and detail-orientation. Well organized self-starter who is proactive taking on projects and solving problems. Eager to learn and evolve.
