Corporate Counsel, Commercial Contracts Duties: Provides legal and business advice, drafting and negotiation expertise for a broad range of commercial and operational agreements, including non-disclosure, material transfer, supply, manufacturing, equipment, software, leases, distribution, collaboration, development, clinical trial, pump training, and provider agreements with health insurance payors and administrators. Works directly with and advises key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk. Provides legal support for the Company's expanding international operations, proactively identifies related business and legal risks, and collaborate cross-functionally to offer risk mitigation strategies and creative solutions. Provides input in the development, and helps implement and administer, process improvements and systems for administration of key Legal department responsibilities. Works closely with contract administrators to monitor contract covenants, expirations and renewals on a monthly basis. Continuously improves training and communications relating to relevant Legal department procedures. Works cross functionally with other departments including members of regulatory, purchasing, finance, quality, IT, and other departments to ensure a smooth and agile contracts life cycle process and to ensure consistency with Legal response times and compliance with laws and regulations. Identifies, recommends, and implements internal controls for appropriate approvals of new contractual commitments and supports providing requested documents to our financial advisors and internal audit teams. Reviews press releases relating to commercial transactions. Reviews marketing collateral and brochures, user guides, claims, to ensure they are compliant with Company policy and with the laws and regulations within the jurisdiction they will be launched. Support product development and product launches from a commercial transaction perspective. Functions independently and delivers results with minimum supervision. Maintains the confidentiality of Legal Department communications and documentation. Special projects as assigned. Ensures contractual compliance with company policies, including privacy (HIPAA, GDPR etc.) and other legal and regulatory requirements such as the EU MDR and FDA regulations.

Qualifications: Law degree (JD or equivalent) with excellent academic credentials and a license to practice in the state of California, Idaho, or licensed in another state and registered as In-House Counsel in California. 3+ plus years of relevant legal experience with complex commercial transactions, preferably including at least 1 year of in-house experience with a medical device, pharmaceutical or biotech company. Familiarity with the federal False Claims Act, Anti-Kickback Statute, and Food Drug and Cosmetic Act. Working understanding of international, federal, and state rules and regulations applicable to medical device companies. Experience with and breadth of knowledge related to contract law. Strong verbal and written communication skills. Ability to operate independently and prioritize effectively while handling substantial and diverse work volume and serving as a key contributor for a rapidly growing organization. High level of integrity supported by sound judgment and ethics. Familiarity with subject matter relevant for key areas of responsibilities. Effective interpersonal skills and presentation styles to interact with diverse audiences, including outside attorneys, senior management, and business associates. Working understanding of clinical trials and related laws, regulations, and agreements. Expertise in counseling clients on best practices for commercial, clinical trial and supply chain functions. Experience negotiating and drafting supply agreements and vendor agreements for critical service providers. Prior experience supporting businesses with global operations.
