Corporate Counsel

Corporate Counsel Responsibilities: Review, draft, and negotiate a broad range of sales, partner, distribution, and procurement agreements, as well as business associate agreements. Advise the business on a variety of topics such as health care regulations, privacy and data sharing, employment matters, and corporate transactions. Consult and assist with a variety of corporate legal processes (e.g. corporate governance, intellectual property, mergers & acquisitions, financings, compliance, litigation, etc.). Develop company policy and position on legal issues. Anticipate and guard company against legal risks. Guide internal stakeholders and ensure compliance with rules and regulations.

Requirements: JD degree from an accredited U.S. law school and good standing with at least one U.S. state Bar. 4-8 years of law firm and/or in-house legal department experience, preferably in technology or startup environment. Highly skilled in drafting, reviewing, and negotiating complex commercial agreements with clients, partners, and vendors with minimal supervision. Proven understanding of healthcare regulations, including but not limited to HIPAA, Stark, and Anti-kickback regulations. Excellent negotiation, communication, and writing skills. Analytical ability and strong attention to detail. Ability to apply a high level of discretion, common sense and good judgment to ambiguous situations
