Associate Corporate Counsel Duties: Create best practices that align business needs with vendor services. Ensure contract terms and conditions address primary business risk areas, such as indemnification, limitations of liability, and contract compliance, in the best interest of Dividend. Develop and maintain a contracts management system to include an inventory of all vendor contracts and engagement with business owners during the contract lifecycle to ensure all milestones, including SLAs, termination/renewal notifications, and/or replacement decision dates are properly met. Provide guidance to business partners on the development of Service Level Agreements and ensure meaningful remedies and recourse are included in all contracts. Draft and update policies and procedures pertaining to vendor management. Negotiate terms of select contracts within legal, risk, and financial parameters while ensuring vendor contracts meet all compliance regulations and internal policies. Define and draft standard terms that may be referenced and/or incorporated into all vendor contracts. Perform all other job duties as assigned by supervisor. Opportunity to work closely with lawyers within the Division regarding business development and general corporate transactions.
Qualifications: 3 5 years experience supporting vendor and contract management and procurement services, including drafting complex vendor agreements, business development or strategic venture arrangements, nondisclosure agreements, master services agreements, statements of work, independent contractor agreements, and other corporate transactional documents as needed to support the organization and business units. Team player with inherent commercial judgment and strong analytical skills. Excellent attention to detail and strong organizational / project management skills. Strong oral and written communications skills, with an emphasis in contract drafting skills. Overseeing and managing outside counsel, while limiting outside counsel costs, as needed/appropriate. Proactively collaborating with stakeholders across the enterprise, including compliance, technology, risk, sales, operations and other key partners. Supporting other key projects within the Legal Division as necessary. Preferred: Financial services experience, preferably in consumer credit or lending, with a focus on regulatory compliance, is preferred. Prior experience supporting litigation and/or HR is a plus, including drafting settlement agreements and legal demands. Capital markets, structured finance and/or securitization experience. Prior Information Security experience.
