Corporate Counsel Duties: Participate as a high performing team member of the legal team, contributing to the success of the team, while building strong relationships with and meeting the legal needs of internal clients. Provide corporate/transactional support across all business functions, including: Reviewing, interpreting, and negotiating agreements covering the full scope of corporate and commercial activities; creating and improving company-wide policies, procedures, and standard agreements; advising on strategic legal matters and legal implications to mitigate risk. Provide day-to-day legal support to network of veterinary hospitals and field teams located across the United States and Canada. Provide general legal advice and support to the business including, among other things, commercial contracts (draft, review, negotiate, training), advising on veterinary practice act implications, transaction support, and corporate governance. Work closely with and provide primary legal support to the following VCA departments on a regular basis: Real Estate, Client Experience/ Digital Innovations, Knowledge & Learning, Marketing, Procurement, and Risk & Safety. Provide legal input on various cross-functional project teams, working collaboratively with internal and external stakeholders, utilizing strong communication (both verbal and written) and problem-solving skills. Assist Mergers & Acquisitions team. Identify and filter legal issues that need to be reviewed by external counsel, including sweepstakes, contests, telemarketing and debt collection, and social media issues.
Qualifications: JD Degree required. Member of the California Bar or other state bar in good standing required. 4 8 years relevant litigation or transactional legal practice including contracts, Intellectual Property, corporate, transactions, real estate, regulatory matters, and trade secret. Experience in a large, complex, multi-billion dollar company, in a services industry. While prior experience in a hospital services environment is a plus, it is not required. Some experience in a multi-site and multi-state environment would be a strong positive. Have both large law firm litigation/transactional and in-house experience. Has been a business partner to a field organization and corporate functions previously. Has managed a team and prioritized workloads previously.
