Senior Legal Counsel, Corporate & Transactional

Senior Legal Counsel, Corporate & Transactional Duties: Lead company's global commercial contracts and agreements. Advise and assist on corporate and Board governance matters and all secretarial matters, including the preparation of Board and Committee materials, policies, and other special projects. Develop and maintain programs and policies to ensure compliance with securities-related regulatory requirements, including the Sarbanes-Oxley Act, stock exchange listing standards, Regulation FD, insider trading rules, and more. Oversee and work closely with equity team on equity matters, including equity plans, and compensation. Advise on investor relations matters, including review of earnings announcements, press releases, investor presentations, investor communications and other materials. Drive and manage internal corporate initiatives and policies. Lead corporate governance. Assist with special projects as needed. Prepare and review SEC filings, including registration statements. Qualifications: JD Degree from accredited U.S. law School and is an active member in good standing of a U.S. state bar (and eligible to register in California as in-house). 5+ years' corporate governance and transactional experience, with top law firm experience; in-house experience highly preferred. Proactive, detail and solution-oriented approach. Excellent business judgment and strategic thinking. Experience advising C-suite, Board of Directors and executive level leaders. B2B Software or Technology experience. Experience efficiently managing outside counsel. Knowledge relating to the 1933 Act, 1934 Act, and exchange rules. IPO experience preferred.
