Corporate Attorney - Remote Responsibilities: Independently take on legal projects while providing support to the Company's Legal Counsel in providing legal services to the company's various divisions and officers, with a view to protecting the organization's legal interest. Provide hands-on counsel to all levels of the company, including contract reviews litigation, corporate governance, and general legal and compliance matters. Collaborate daily with Legal Counsel, whom the candidate will be assisting at a high speed, and often the hectic legal environment. Interface with different departments in the company to provide legal assistance, as instructed by the Legal Counsel. Work closely with teams in North America, EMEA, APAC, and outside counsel and different internal stakeholders such as Sales, Finance, Operations, etc. Review commercial contracts, including reviewing customer comments and redlines, being able to effectively and intelligently negotiate contractual provisions, be a partner with the sales team in closing deals, and supporting them to reach the finish line. Identify and analyze legal issues, draft key documents, present clear recommendations to the Legal Counsel, and assure legal compliance. Research and advise key staff on new legislation, existing laws, and industry news that may impact business functionality. Play a key role in special projects including due diligence, M&A, lender compliance, RFP/RFI responses, and related general legal project management tasks. Prepare forms related to bank accounts. Interact with the firm's outside providers of corporate services. Work with outside firms to ensure contractual provisions reflect local statutes and regulations. Play a key role in corporate risk and compliance management including Managing Data Privacy inquiries and requirements, GDPR compliance, and other related local requirements. Build processes to improve the company's operating efficiency and mitigate legal risk keeping scale and growth in mind. Conduct research and fact-finding.
Qualifications: A Law Degree from an Accredited Law School. 8-10 years of practice with an established US law firm or relevant in-house counsel experience. Experience with corporate governance issues and corporate secretarial duties. Experience drafting, reviewing, and negotiating a variety of contracts in the United States, specifically NDAs, MSA's, Reseller Agreements, Vendor Agreements, Licensing, SOWs including management of contract templates and processes ensuring contractual provisions reflect local statutes and regulations. Expertise in the US federal rules as well as some knowledge of individual state laws. Familiarity with all aspects of the formation of corporations, corporate secretarial requirements, and compliance filings. Ability to quickly become familiar with the company's standard commercial agreements, including procurement agreements for customers of cloud services. Ability to thrive in a fast-paced environment that requires high levels of agility and collaboration. Strong analytic, research, and report generating skills including the ability to work with excel and sheets. Well organized, hardworking, and with great attention to detail. Ability to work independently and be willing to work with different time zones and at different times.
