Commercial & Corporate Generalist Counsel The candidate will be developing innovative technologies to revolutionize the payments industry while helping customers transact in global marketplaces is not for the faint of heart. Draft, review, and negotiate various types of commercial agreements, including master services, licensing, professional services, marketing, consultant, strategic partner, and vendor agreements Provide legal counsel to finance, operations, and other teams regarding banking, credit agreements, equity agreements, guarantees and promissory notes, Interpret contract requirements, obligations and risk assessment or exposure and advise on same, Resolve issues that arise in commercial relationships, including but not limited to handling pre-litigation disputes, inquiries and advice, Assist with due diligence efforts with respect to M&A transactions and other strategic transactions, as well as post-acquisition integration legal matters, Assist with insurance and real estate matters, as well as corporate, intellectual property, employment, international, consumer protection, privacy, IP, high-tech and other legal matters, as the need arises, Assist with credit, creditors rights, collection, bankruptcy and litigation matters, Manage outside counsel, when/where needed, across multiple jurisdictions to ensure timely and knowledgeable support of critical projects, deals and initiatives, JD degree and 5+ years of relevant legal experience, Strong team orientation required, with a sense of ownership and urgency, high energy and enthusiasm required for our high-growth, fast-paced, entrepreneurial environment, Excellent time management and organizational skills, Outstanding written, oral, research, negotiation skills required. Must be able to move easily between a hands-on, operations-focused view and a strategic outlook, Fluency with, or eagerness to learn about, technology to the extent necessary to counsel the business, Demonstrated business judgment and ability to assess legal risk while providing pragmatic advice, Must be active and in good standing in at least one State Bar in the United States; Canadian lawyers with extensive U.S. experience will be considered, Strong analytical and advisory skills, including the ability to counsel business colleagues on complex and routine legal questions relating to various business, Ability to deliver outstanding, thoughtful, and focused results in a timely, efficient manner, In-house experience with a technology or financial services company strongly preferred, Detail-oriented with a focus on accuracy without losing focus on timely delivery. Able to work independently, prioritize, and adapt quickly to changing circumstances and priorities, Expertise in data privacy, litigation, e-commerce law and payments law preferred, Excellent computer skills required, including advanced skill level with Microsoft Office products
