Corporate Counsel Duties: Assist with financial reporting, corporate governance, SEC filings including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, and Section 16 filings, corporate secretarial, and related obligations. Integrally support our acquisitions, capital markets offerings, and other key transactions. Support, research and advise on corporate law and other issues in multiple jurisdictions for the global subsidiaries and global operations around the world. Support Board of Directors and its committees, including developing meeting agendas, assisting with the preparation of Board and committee materials and meeting minutes. Provide legal advice on global compensation programs and professionals, including global equity and executive/employee compensation plans, and equity administration matters. Assist with the administration, development, and implementation of company-wide policies and procedures and train employees and others. Manage outside counsel. Work collaboratively and responsively with a broad range of colleagues cross-functionally and internationally, ensuring good relationships between Legal, Finance, Accounting, External Reporting, Investor Relations, Treasury, Tax, Business Development, Stock Administration, HR, Facilities, Operations, Regulatory, Communications, Marketing and other teams to facilitate a coordinated team approach. Pitch-in on whatever legal work needs doing, whenever it needs to be done including projects of other internal legal teams including internal Commercial, Litigation, IP and Employment legal teams.
Qualifications: JD degree or equivalent degree and admitted to practice in California and in good standing or otherwise authorized to practice law (e.g. have registered in-house status). 4-7 years in a law firm and/or in-house advising public companies. Experience advising clients in securities law ( 33 and 34 Act) and SEC reporting matters and corporate governance issues, bonus to have experience in real estate, regulatory, or structuring complex commercial transactions. A high level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills. As with all legal roles at 10x, we expect successful candidates to pitch in and help on areas they may be less familiar with and for which they may not be directly responsible, allowing them to grow and develop and help their colleagues at the same time. Self-directed and proactive, comfortable executing on multiple projects independently and in collaboration with others. Preferred: Experience with life science companies. Experience with real estate transactions. Experience with US and global regulatory compliance.
