Senior Director, Senior Corporate Counsel The candidate will prepare the Company's 34 Act filings and proxy statements for annual and special meetings of shareholders. Support in connection with corporate governance, executive compensation, capital markets, and the Board of Directors. Partner effectively with multiple functions including Finance, Treasury, Investor Relations, Accounting, Tax, Legal, Executive Compensation, and senior business leaders. Work with the VP, Deputy General Counsel in preparation of Board of Directors/Committee materials. Serve as a trusted advisor to senior executives and the Flex Board of Directors. Support the continuous improvement of policies and procedures. Special projects as requested. Must be an attorney qualified to practice law in at least one U.S. state. Must have excellent academic credentials including a law degree from a reputable law school. Must have 7+ years of experience practicing as an attorney with a top law firm or public company legal department or a combination thereof. Experience with technology companies is desired. Have a high level of expertise drafting public company proxy statements for annual and special meetings of shareholders, including compensation tables and compensation discussion & analysis. High level of expertise reviewing and assisting in the preparation of public company 34 Act filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K, and Section 16 filings are required. A high level of expertise advising on executive compensation arrangements, including equity plans and 10b5-1 trading plans is essential. Have a high level of expertise advising on Investor Relations and Corporate Communications matters, including earnings releases, press releases, and management presentations to investors and securities professionals. Have a high level of expertise on governance-related matters, including stock exchange requirements and interactions with proxy advisory firms. Have experience working on treasury matters including letters of credit, parent guaranties, and intercompany loans a plus. Must have excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, and highly team-oriented. Have strong communication and presentation skills, both written and spoken with the ability to interact with people at all levels in a complex matrix organization. Must be able to work efficiently with cross-functional teams and manage numerous projects simultaneously under deadline pressure. Have flexibility and a willingness to work on a broad variety of contractual and related matters. A sense of humor, a commitment to professionalism, and exceptional judgment are needed. Periodic travel may be required.
