Senior Attorney, Corporate Responsibilities: Review, advise and assist with securities transactions, filing/publishing quarterly earnings releases, investor presentations, quarterly and annual reports and other public communications. Lead legal due diligence on strategic transactions. Provide assistance with the negotiation and of asset and stock purchase/sale agreements, joint venture and partnership agreements, strategic investments, financing transactions, and other strategic partnership-related documents. Provide legal advice to Accelerator, company creation engine, which partners with leading venture capital investors and entrepreneurs to create, launch, and grow genomics startups. Help to maintain governance policies and practices, including corporate governance guidelines, committee charters and other governing documents. Listed responsibilities are an essential, but not exhaustive list, of the usual duties associated with the position. Changes to individual responsibilities may occur due to business needs.

Requirements: JD degree from an accredited law school. Member of the CA bar or able to practice as an in-house attorney under CA out-of-state attorney rules. U.S. Law degree and license required. 7-10 years of experience working in a top tier law firm and/or in-house legal department. Substantial experience managing securities, corporate finance, M&A, and corporate governance matters. Familiarity with genetics and other biological sciences is beneficial. Demonstrated strong strategic and analytical thinking. Proven track record as team player with a strong work ethic and self-starting attitude. Set and maintain high standards for self and the team. Clear communication and effective negotiating skills that are effective with marketers, scientists, colleagues, and senior management. Able to adapt and iterate seamlessly in a fast-paced environment. Approaches position with a can do attitude. Exemplifies highest ethical standards.
