Corporate Legal Counsel

Corporate Legal Counsel Responsibilities: Provide day-to-day legal analysis and advice on diverse operational legal and policy issues, including corporate governance, warranty matters, legal and regulatory compliance, real estate, intellectual property, mergers & acquisitions, outsourcing and other various legal matters.. Negotiate, draft and review various types of complex contracts and agreements ranging from customer and vendor supply/purchase, professional services, software licenses, development, support, and other commercial agreements. Anticipate and guard against legal and regulatory risks facing the Company and develop and recommend policies and positions to proactively mitigate such risks. Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings. Support the execution of the Company's and Department's key global and strategic objectives. Assist in building and implementing the Company's global Environmental, Social, and Corporate Governance (ESG) program, including drafting various policies and administering training programs. Travel regionally and globally to provide regional support and interface with clients and external counsels. Cultivate and maintain channels of communication with key legal and business affairs personnel. Other duties as assigned and in accordance with prior experience.

Requirements: JD Degree. Licensed member of at least one state Bar. 5+ years of post-qualification experience in a corporate law department and/or in a leading private law firm. Completion of a legal degree from a top-tier law school. Demonstrated application of business judgment and a global perspective in solving complex legal problems with prompt and concise guidance and a range of alternative solutions. Ability to create and facilitate new ideas, rethink fundamental assumptions and champion efforts to optimize policies, processes and resources. Self-starter who is capable of independent function with minimal oversight, yet works well in a team atmosphere. Excellent organizational and client-service skills, with the ability to multi-task and prioritize efforts to simultaneously meet multiple project deadlines and expectations. Strong interpersonal and communication capabilities. High level of ethics, values and personal integrity. Preferred: Experience working in a global organization. Data privacy and cybersecurity.
