Corporate Counsel Duties: Partner with our business teams on product and service offerings (such as equity management, equity transactions, fund administration, and fund formations), special projects, and complex strategic initiatives. Support go-to-market activities for Investor Services and Financial Products teams, including sales and marketing activities. Manage complex and sensitive cross-functional projects with the Finance team, People team, and other teams as needed. Help business leaders make smart decisions by issue spotting and utilizing legal experience and expertise to bear on the complicated problems we are trying to solve. Partner with cross-functional legal experts and internal stakeholders to advise on the product and customer experience, including go-to-market, marketing, sales, and customer service and account management. Review, negotiate and draft a wide range of commercial agreements, including partnership agreements, and joint venture agreements. Develop, improve and maintain relevant playbooks and knowledge bases. Coordinate and manage outside counsel. Provide support as needed to the other members of the Company's legal team.
Qualifications: Juris Doctor (J.D.). Membership in one State Bar. New York or California Bar Membership is preferred. 4+ years of experience as a practicing attorney at a leading law firm and as in-house counsel. Strong understanding of software technology and cloud services, associated business models, and technology industry trends. Knowledge of venture capital law, securities regulation, and/or fund formation, and related trends and business practices.
