Senior Corporate Counsel, International Affairs Candidate will be the primary legal support for the Company's international commercial operations outside North America and will provide as needed legal support for initiatives within North America. Will be an integral member of the Legal Department and operate independently in a dynamic environment to support the growing and diverse legal needs of the business. Provides legal and business advice to a broad range of partners at all levels in the organization. The Sr. Corporate Counsel, International Affairs will frequently advise internal clients who lead and support product distribution and commercialization activities outside North America and OUS strategies for optimal finance, tax and employment structures. Drafts a wide variety of complex agreements to support international commercial operations through partnerships and collaborations, expand market access among national and private payors, increase efficiencies and access in distribution channel. Develops and keeps current standard agreements and controlled documents for distribution, supply, services, and product training and education. Supports international sales, marketing, and training and education groups with respect to patient- and HCP-facing marketing and promotional activities. Provides legal guidance for international social media campaigns, events, and interactions to ensure compliance with global laws and regulations. Continuously improves and ensures company compliance with policies and procedures relating to U.S. export, sanctions and import laws, as well as Foreign Corrupt Practices Act (FCPA), UK Bribery Act, and other global anti-bribery and anti-corruption laws. Possesses a working understanding of global data protection and privacy regulations and collaborates with the Company's internal and external privacy counsel to identify and mitigate privacy related risks. Partners with Human Resources to determine strategy and approach on employment-related legal matters and helps manage the Company's employment-related grievances, disputes, litigation, and arbitrations, including oversight of outside counsel, investigation or directing the investigation of employee and employment law regulatory matters, including conducting interviews, composing investigatory reports, and advising on remedial actions based on findings. Assesses, monitors, advises and assists Human Resources department in the development and maintenance of policies relating to compliance with all facets of international employment laws.

Qualifications: Law degree (JD Degree or equivalent) with excellent academic credentials and a license to practice in the state of California, or licensed in another state and registered as In-House Counsel in California. 7 years of legal experience with at least 3 years of relevant global medical device, pharmaceutical or biotech company experience. 3 or more years of in-house experience is strongly preferred. In-depth understanding of international laws, rules and regulations applicable to medical device companies, inclusive of international industry codes such as MedTech Europe, MEDEC, and FCPA. Extensive experience with and breadth of knowledge related to contract law. Specific knowledge of promotion and marketing laws applicable to consumer and medical devices are of primary importance. Working understanding of the federal False Claims Act, Anti-Kickback Statute, and Food Drug & Cosmetic Act.
