Senior Corporate Counsel - Transactions The candidate will independently review, analyze, draft and negotiate contracts including. Complex partner agreements (e.g., reseller, distribution, managed security service provider, joint marketing). Technology integration agreements (e.g., evaluation, OEM, joint development). Complex procurement agreements (e.g., agreements with SaaS providers, professional services providers, and IT outsourcing vendors). Manage the contract life cycle process from drafting through post-execution. Provide legal advice, issue spot and identify risks and proposed solutions during the negotiation process. Work cross-functionally with sales, finance, tax, marketing, HR, and other internal stakeholders to ensure contract compliance with relevant laws and company policies and risk profiles. Develop and revise template agreements and playbooks to ensure compliance with changes in the law and business. Work with outside counsel on international contracting issues. Work with other team members to improve the efficiency of the contract life cycle and intradepartmental workflows. Serve as an escalation point for issues from Tanium's front-line customer and procurement contracts teams. Pitch in and help with projects outside of the above on an as-needed basis, providing growth opportunities outside of the immediate area of expertise.
The candidate should have a JD degree. Should have admission to the State Bar of California or Washington, or able to register as in-house counsel. Should have 4+ years of relevant experience, including substantive experience in drafting and negotiating complex technology and commercial agreements. Should have experience simultaneously driving multiple negotiations, and identifying, prioritizing and resolving key business issues, proven and excellent analytic, communication and contract drafting skills. Experience with international contracts, data privacy and security issues is a plus. Experience working with contract management systems such as Apttus and Coupa is helpful. Should be a team player with a sense of humor and the ability to work collaboratively in a small team. Should have demonstrated practical, business-oriented approach to balancing legal/contractual issues with business risk, excellent business judgment and critical thinking with a strong work ethic and a high degree of accountability, ability to prioritize tasks, think clearly under pressure and meet tight deadlines in a fast-paced environment, strong interpersonal and communication skills and the ability to communicate complex ideas to non-legal teams. Should have passion for learning new things and taking on new challenges, highest integrity and ethical standards, growth mindset conducive to tackling challenges outside of your immediate area of responsibility.
