Chief General Counsel (Corporate/M&A) Responsibilities: Assist with mergers and acquisitions, investments, financings, and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration. Draft and assist with the preparation of M&A, financing and related board and committee meeting materials. Work on antitrust compliance issues including HSR filings and governmental responses. Assist with other special corporate projects, including IPO readiness. Prepare, review and manage periodic and annual reporting. Provide legal oversight of quarterly earnings. Assist with board activities such as coordinating, preparing and facilitating board meetings. Design and implement policies, procedures and controls required for corporate legal compliance, including corporate governance programs. Oversee and manage domestic and international subsidiaries. Oversee administration of equity programs, including equity grants and equity award policy. Assist where needed on other legal matters and manage other legal functions from time to time, as appropriate.
Qualifications: JD (or foreign equivalent) and bar admission to practice in NY, CA, TX or MA preferred. 12+ years of professional experience, ideally in mergers and acquisitions, corporate governance and securities law, prior experience in IPOs is a plus. At least 6+ years' people management experience. Outstanding interpersonal skills and the ability to coordinate effectively and gain trust and confidence with personnel at many different levels. Ability to work as a team member of the legal department in a scalable, autonomous and accountable manner. Excellent communication skills to interact with both internal departments and external business clients while addressing complex issues in an accurate, clear, and thorough manner.
