Lead Corporate Counsel The candidate will manage global M&A, strategic investments, debt transactions, and other strategic transactions, including assisting in drafting LOIs, standardizing due diligence execution across teams, assisting in drafting and negotiating deal agreements, handling outside counsels as needed, and coordinating post-close matters. Lead all areas related to the company's securities laws matters and related compliance, including IPO readiness, investor relations, proxy management, and SEC reporting and disclosures as needed. Help with corporate entity creation and management, including international expansion. Assist in drafting and reviewing other public disclosures and corporate communications, as needed, including earnings releases, press releases, and blogs. Prepare board and committee meeting material and support the planning of the annual meeting of stockholders, including working with the office of the CEO in preparing Board updates, assisting initiatives in improving governance across compensation and finance teams, and preparing proxy statements and related filings. Help to develop, implement and continually improve the company and team processes and procedures. Provide legal advice and support on global equity plans, executive compensation, and related matters. Have the ability to be the primary attorney on M&A and other strategic transactions and support all phases of deals including drafting and negotiating terms sheets, merger agreements and ancillary documents, managing the diligence process, and other deal mechanics including closings and post-closing matters. Partner with global cross-functional internal teams on various other corporate legal projects. Managing and negotiating strategic corporate deals of all types, including M&A and venture financing transactions, and complex partnership deals. Strategically managing corporate entity matters, including expansion into international markets. Managing complex legal aspects of major business transitions with an emphasis on organization, collaboration, and communication. Helping corporations manage risk and meet regulatory and shareholder expectations through well-crafted disclosures and communications. Designing, building, and improving legal department processes as we scale. Collaborating on a wide range of regulatory, privacy, consumer protection, intellectual property, and other legal issues that shape our business and the entire FinTech ecosystem. Must have a JD degree. Must have 8+ years of experience in legal practice, including in a nationally recognized law firm, and with substantial relevant experience running general corporate deals, including M&A, venture financings, and IPO/DLs. Deep experience with US Securities regulations, including SEC reporting, securities law compliance, and corporate governance, structuring and negotiating M&A and financing transactions, and managing subsidiaries. Experience supervising lawyer(s) and/or paralegals, and an interest in leading teams to accomplish results. Excellent writing, oral communication, and organizational skills. Eager to learn about new and emerging technologies. Comfortable navigating complicated and nuanced legal issues.
